These Terms and Conditions ("Terms") constitute a legally binding agreement between KodNod ("Company", "we", "us") and the client ("Client", "you") regarding the provision of software development and related services in accordance with Pakistani law.
2.1. Upon full payment, the Client shall own all rights to the deliverables specifically created for the Client.
2.2. Pre-existing intellectual property, including frameworks, methodologies, and tools, remains the property of KodNod.
2.3. All intellectual property rights are protected under the Copyright Ordinance 1962 and the Prevention of Electronic Crimes Act 2016 of Pakistan.
3.1. All payments shall be made in accordance with the agreed payment schedule.
3.2. Payments may be made in PKR or USD as agreed upon in the project proposal.
3.3. Late payments shall incur additional charges as per the Contract Act 1872.
Both parties agree to maintain the confidentiality of proprietary information in accordance with the Electronic Transaction Ordinance 2002 and SECP regulations.
5.1. Project timelines and deliverables will be specified in the project proposal.
5.2. Any modifications to the scope will require written agreement from both parties.
5.3. The acceptance criteria will be defined in the project specification document.
6.1. We provide a warranty period of 90 days for bug fixes after project completion.
6.2. Support and maintenance terms will be outlined in a separate Service Level Agreement (SLA).
Either party may terminate the agreement with 30 days written notice. All outstanding payments must be settled, and deliverables transferred according to the payment status.
Any disputes shall be resolved through arbitration in Lahore, Pakistan, in accordance with the Arbitration Act 1940.
These Terms are governed by the laws of Pakistan and subject to the jurisdiction of courts in Lahore, Pakistan.
